End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Thortech Solutions Limited ("we", "us", or "our"), the provider of the VFD Tanzania Virtual Fiscal Device service and related web portal, mobile applications and APIs (collectively, the "Service"). Please read it carefully. By creating an account, downloading, installing or using the Service, you agree to be bound by this Agreement.

Effective date: 15 June 2026

1. Acceptance of Terms

By accessing or using the Service you confirm that you have read, understood and agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must not access or use the Service. If you are entering into this Agreement on behalf of a business, you represent that you have authority to bind that business.

2. Definitions

  • Service — the VFD Tanzania Virtual Fiscal Device platform, including the web portal, mobile applications, APIs, documentation and any updates.
  • Account — the registered profile through which you access the Service.
  • TRA — the Tanzania Revenue Authority.
  • Fiscal Receipt — a digital fiscal document issued through the Service in accordance with applicable tax law.

3. Licence Grant

Subject to your continued compliance with this Agreement and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for your lawful internal business purposes of issuing fiscal receipts and managing related records.

4. Restrictions

You agree that you will not, and will not permit any third party to:

  • copy, modify, translate, reverse engineer, decompile or create derivative works of the Service, except as permitted by law;
  • resell, rent, lease, sublicense or otherwise make the Service available to any third party except as expressly permitted;
  • use the Service to issue false, fraudulent or non-compliant fiscal documents, or to circumvent tax obligations;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Service, its servers or networks;
  • use any automated means to access the Service in a manner that exceeds reasonable use or your API plan limits.

5. Account Registration & Security

You must provide accurate, current and complete information during registration, including any tax identification details required for fiscal compliance. You are responsible for safeguarding your credentials and for all activity that occurs under your Account. Notify us immediately at [email protected] of any unauthorised use.

6. Fees & Subscription

Certain features of the Service are provided on a paid subscription basis. Applicable fees, billing cycles and plan limits are described at the point of purchase. Unless required by law, fees are non-refundable. We may change fees on reasonable prior notice.

7. Fiscal Compliance & Third-Party Services

The Service interacts with TRA systems and other third-party services (including app stores and payment providers). Your use of those services is subject to their respective terms. You remain solely responsible for the accuracy of the transactions you record and for your compliance with applicable tax laws and regulations.

8. Intellectual Property

The Service, including all software, content, trademarks and logos, is and remains the property of Thortech Solutions Limited and its licensors. Except for the licence expressly granted above, no rights are transferred to you.

9. Data & Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which forms part of this Agreement.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Thortech Solutions Limited shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability shall not exceed the amounts paid by you for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Thortech Solutions Limited, its officers, employees and agents from any claims, damages, liabilities and expenses arising from your use of the Service or your breach of this Agreement.

13. Term & Termination

This Agreement remains in effect while you use the Service. We may suspend or terminate your access immediately if you breach this Agreement or if required by law. Upon termination, the licence granted to you ends and you must cease all use of the Service. Provisions that by their nature should survive termination will survive.

14. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be notified through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.

15. Governing Law

This Agreement is governed by the laws of the United Republic of Tanzania, and the courts of Tanzania shall have exclusive jurisdiction over any dispute arising from it.
